1. Agreement to Terms

By accessing or using the Unavoidable Marketing CRM platform ("the Service"), you agree to be bound by these Terms and Conditions. If you do not agree, do not use the Service. These terms form a legally binding agreement between you ("the Customer") and Unavoidable Marketing Ltd ("we", "us", "our").

2. The Service

Unavoidable Marketing CRM is a cloud-based customer relationship management platform designed for trades businesses and clinical practices in the United Kingdom. The Service includes contact management, job scheduling, invoicing, outreach tools, AI receptionist functionality and clinical record management.

We reserve the right to modify, update or discontinue features with reasonable notice. Material changes will be communicated by email at least 30 days in advance.

3. Accounts and Access

You must be at least 18 years old and authorised to enter contracts on behalf of your business
You are responsible for maintaining the confidentiality of your login credentials
You must immediately notify us of any suspected unauthorised access at security@unavoidablem.com
You may not share account credentials with individuals outside your organisation
We may suspend accounts that show signs of compromise or misuse

4. Acceptable Use

You agree not to use the Service to:

Send unsolicited bulk messages (spam) - all outreach must comply with UK PECR and GDPR
Store or process unlawfully obtained personal data
Harass, threaten or abuse individuals
Attempt to gain unauthorised access to the platform or other accounts
Reverse engineer, scrape or systematically extract platform data
Circumvent security measures or rate limits
Resell or sublicense the platform without written authorisation

The AI calling and SMS features must be used in compliance with UK PECR regulations. You are responsible for having appropriate consent or legitimate interest before contacting individuals.

5. Subscription and Billing

Subscriptions are billed monthly or annually in advance
All prices are in GBP and are exclusive of VAT where applicable
Payment is processed via Stripe. We do not store card details
Failed payments result in a 7-day grace period before suspension
Annual subscriptions are non-refundable after 14 days
Monthly subscriptions can be cancelled at any time with effect from the next billing date

6. Your Data

You retain full ownership of all data you import or create within the platform. We process it only as your Data Processor under our Data Processing Agreement. On cancellation, you can export your data via the Data & GDPR section. We will delete your data within 30 days of subscription end.

7. Liability

The Service is provided "as is" with a target uptime of 99.5%. We are not liable for:

Loss of revenue or profits arising from service downtime
Data loss where backups have been maintained (we back up daily)
Third-party service failures (Twilio, Bland.ai, Stripe etc.)
Consequences of sending communications without appropriate consent

Our total liability shall not exceed the subscription fees paid in the three months preceding any claim.

8. Intellectual Property

The Unavoidable Marketing CRM platform, its code, design, and features are the intellectual property of Unavoidable Marketing Ltd. You may not copy, modify or redistribute any part of the platform without written consent.

You retain all intellectual property rights over content you create within the platform.

9. Governing Law

These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the English courts.
